- Introduction
These Terms & Conditions set out the general principles and standard practices under which Constructum Code Ltd (“we”, “us”, “our”) operates when providing construction, refurbishment, extension, and related services across London and surrounding areas.

- This document is provided for general informational purposes only.
- It does not constitute a legally binding agreement between Constructum Code Ltd and any potential or existing client.
- Project-specific Terms & Conditions, including the agreed scope of works, pricing, timescales, warranties, and other contractual obligations, will be issued separately in writing upon acceptance of a formal quotation or contract.
- By using our website or contacting us for a quotation, you acknowledge that this page serves solely to describe our typical terms of business and working standards, and no legal obligation arises until a written contract is signed by both parties.
- Definitions
- Client: The individual, firm or company commissioning services from us.
- Works: The building, refurbishment, extension, or related construction services provided by us.
- Contract: A legally binding written agreement signed between Constructum Code Ltd and the Client for the Works.
- Site: The physical location where the Works are performed.
- Warranty Period: The period specified in the official Warranty Certificate (normally 10 years for structural works).
- General Approach
We aim to deliver all works to a high standard of quality, safety, and professionalism, complying with current UK building regulations and industry best practice.
All works are carried out by qualified and experienced personnel, with inspections and approvals from authorised Building Control bodies where required.
- Quotations and Contracts
4.1 Any quotation issued by Constructum Code Ltd is an invitation to treat, not a binding offer.
4.2 A contract shall only come into effect once both parties have signed a written agreement specifying the full scope, price, and conditions of the project.
4.3 All quotations are valid for 30 days unless stated otherwise and may be subject to revision to reflect material or labour cost changes.
- Client Obligations
The Client is responsible for:
- Providing full and accurate information about the property and project requirements.
- Securing all necessary consents, permissions, and approvals unless otherwise agreed.
- Ensuring reasonable access to the Site and basic utilities (electricity, water, sanitation).
- Maintaining a safe working environment and notifying us of any known hazards.
- Inspecting completed works as part of the snagging and handover process.
- Price and Payment
- Prices will be detailed in each project-specific contract or quotation.
- Unless otherwise agreed, payment will be structured through defined stages or milestones (e.g., deposit, progress payments, completion).
- All payments are due within 3 working days of the invoice date.
- Late payments may incur interest at 2% above the Bank of England base rate.
- The Client shall not withhold payment for minor defects or pending snagging unless agreed in writing.
- Quality Assurance and Warranty
Constructum Code Ltd guarantees the quality of its workmanship and materials in line with applicable standards and Building Control approvals.
Upon project completion and issuance of the Certificate of Completion, the 10-Year Warranty Policy commences, covering defects in design, materials, or workmanship as described in the Constructum Code Warranty Policy document.
This warranty applies only to contracted works and approved extras. Claims, exclusions, and financial limits are governed by the Warranty Policy and Certificate of Warranty issued for each project.
- Variations and Changes
Any variation to the scope, design, or specification of the Works must be agreed in writing.
Variations may affect cost, timescale, or materials used.
Verbal instructions are not binding unless confirmed by both parties in writing.
- Completion and Defects
- Constructum Code Ltd will use reasonable endeavours to complete the Works within the estimated timeframe.
- Delays caused by external factors (e.g., weather, material shortages, third-party actions) are outside our control.
- Clients must inspect completed works and report any defects within 48 hours as part of snagging.
- Reported defects will be reviewed and, if valid, rectified promptly at no additional cost.
- Post-completion issues are managed under the separate Warranty Policy.
- Limitations of Liability
- Our total liability shall not exceed the total contract price or the limit specified in any related insurance policy.
- We shall not be liable for indirect, consequential, or economic losses.
- Nothing in these terms limits liability for death or personal injury arising from our negligence or fraud.
- Data Protection
Constructum Code Ltd complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Personal information collected during quotations or contracts is processed only for legitimate business purposes. Please refer to our Privacy Policy for full details.
- Force Majeure
We shall not be held liable for delays or non-performance due to events beyond our reasonable control (e.g., extreme weather, fire, pandemic, industrial action, supply-chain disruption).
- Governing Law & Jurisdiction
This document and any subsequent contracts shall be governed by the laws of England and Wales.
The courts of England shall have exclusive jurisdiction over any disputes arising out of or in connection with our services or contracts.
